Terms of Service
Last updated: May 11, 2026
Effective: May 11, 2026
These Terms are a binding agreement between you and Ludooka. Please read them carefully. Some sections, especially those covering scanning, AI-generated content, parental supervision, author rights, disclaimers and liability, directly affect your legal rights.
Plain-language summary
- You must be 18+ to create an account. Children use Ludooka under your supervision.
- Scanning is for personal study only. Do not scan or upload books you do not own the rights to and never republish them.
- If you publish a book on Ludooka, it must be your original work. You keep your rights and we share revenue per the published royalty schedule.
- AI can make mistakes. Always review AI-generated stories, images, voices and translations before sharing them with a child.
- Voice cloning requires the explicit consent of the person whose voice is cloned.
- This summary is informational. The numbered sections below are the binding terms.
1. Agreement to Terms
By creating an account, accessing or using Ludooka (the "Service"), you agree to be bound by these Terms of Service ("Terms"), our Privacy Policy and, where applicable, our Children's Privacy Notice. If you do not agree, you must not use the Service.
We may update these Terms from time to time. Material changes will be communicated by email or in-app notice at least seven (7) days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
2. Who Can Use Ludooka
You must be at least eighteen (18) years old, or the age of majority in your jurisdiction, to create an account. By signing up you represent that:
- You can enter into a binding contract under applicable law.
- You are not barred from using the Service under any applicable law.
- If you create or supervise child profiles, you are the parent or legal guardian of those children, and you consent to these Terms on their behalf.
- Organizations (schools, academies, literacy programs) sign up through an authorised representative who has the authority to bind the organization.
3. Accounts and Security
You are responsible for everything that happens under your account. You agree to:
- Provide accurate, current and complete information.
- Keep your credentials confidential and never share your account.
- Notify us at security@ludooka.com about any unauthorised use you become aware of.
- Use a single account per person, except where the Service explicitly supports family or organization seats.
We may suspend or terminate accounts that show signs of fraud, abuse, shared credentials or violations of these Terms.
4. Parental Responsibility and Child Supervision
Ludooka is designed for children, but the account, the payment method and the legal responsibility always belong to the adult who signed up. As a parent or guardian, you agree that:
- You will supervise your child's use of the Service in a way that is appropriate for their age and maturity.
- You will review any AI-generated story, illustration, translation or narration before sharing it with your child, and you accept that automated systems can produce mistakes, hallucinations or age-inappropriate output despite our safety measures.
- You are solely responsible for the suitability of any content your child encounters through your account, including custom books you generate or share.
- You will configure age-appropriate settings, parental controls and screen-time on your device, and you will not rely on Ludooka as a sole supervision tool.
- You will not allow your child to enter personal information (full names, addresses, phone numbers, school names, etc.) into prompts or free-text fields.
5. Scanning, Uploading and Personal Use of Existing Books
Ludooka lets you scan or upload pages from physical books and PDFs in order to read, listen to, translate or practice with them on the Service. This feature is provided strictly for personal, non-commercial study and accessibility use within your own household or classroom seat.
By scanning or uploading any material you represent and warrant that:
- You either own the physical or digital copy you are scanning, or you have the legal right to make a personal copy under the copyright laws of your country (for example, fair use, fair dealing, private study or an accessibility exception).
- You will not upload pirated, leaked or illegally-obtained material, copies you borrowed from a library, school, friend or any third party without permission, or material whose terms of sale forbid digitisation.
- You will not publish, sell, share, redistribute, broadcast, post on social media, list on the Ludooka marketplace, or otherwise make available to the public any scanned content or any derivative of it (including AI translations, AI narrations and AI illustrations created from scanned text).
- You will not use the scan feature to reproduce third-party works at scale, to build a competing dataset, or to train any model.
- You understand that scanning a copyrighted book and then publishing it in any form, including a translated, narrated, re-illustrated or AI-rewritten version, is copyright infringement and is your sole responsibility.
You agree to indemnify and hold Ludooka harmless from any claim, damages, fines or legal fees arising from material you scanned or uploaded in breach of this section. We reserve the right to remove scanned material, suspend the scan feature for your account, or terminate accounts on credible reports of infringement.
6. Authors, Original Work and the Marketplace
If you publish a book on Ludooka, whether free or paid, you represent and warrant that:
- The work is your original creation, or you have all necessary rights and licences to publish every part of it (including text, characters, illustrations, photographs, voices and music).
- You are not infringing any third-party intellectual property right, trademark, publicity right, privacy right or moral right.
- You will not publish content that copies, paraphrases, retells or derives from a third-party copyrighted book, character or universe without express written permission from the rights holder.
- You will not use Ludooka to publish translations of third-party books you do not own the translation rights to.
- Photographs of real people (including children) used as the basis for characters require the documented consent of the person depicted, or of their parent or guardian if they are a minor.
You retain ownership of your original work. By publishing on Ludooka you grant Ludooka a worldwide, non-exclusive, royalty-bearing licence to host, distribute, translate, narrate, illustrate, market and sell your book on the Service and through the Ludooka marketplace, in accordance with the royalty terms shown in your author dashboard at the time of publication.
We may remove a published book at our discretion, including (without limitation) on a credible infringement complaint, on a safety review, on a violation of these Terms, or on receipt of a valid takedown notice. In jurisdictions where it applies, we operate a notice-and-takedown procedure consistent with the U.S. Digital Millennium Copyright Act (DMCA). Send notices to legal@ludooka.com.
7. AI-Generated Content
What is and is not included in a book or subscription. Buying a book, a bundle or a subscription delivers the story in its original language, with its original illustrations and narration. Any AI-powered extra you choose to use beyond that, including on-demand translation into another language, voice cloning, personalised illustrations or character images, additional audio narration and other AI generations, runs live on third-party AI platforms each time you request it and consumes credits from your account on top of the book or subscription price. The credit cost is shown before each AI action. By using these features you expressly request immediate performance, agree to the credit charge, and acknowledge that consumed credits and AI outputs are non-refundable, including outputs you choose not to keep.
Ludooka uses third-party and proprietary AI models to generate stories, illustrations, translations, audio narration and other content based on the inputs you provide. Despite our safety filters, model selection and content reviews, AI output is probabilistic and can:
- Contain factual errors, hallucinations, anachronisms or biased framing.
- Generate culturally insensitive, age-inappropriate or otherwise objectionable content despite our guardrails.
- Mispronounce words, miss tone, or produce uneven narration in some languages.
- Produce illustrations with anatomical, perspective or text artefacts that require regeneration.
- Occasionally output content that resembles copyrighted style or characters; you are responsible for reviewing and not publishing such output.
You are responsible for reviewing all AI-generated content before using it, sharing it with a child, publishing it, ordering it in print, or distributing it through the marketplace. We do not guarantee that AI-generated content is accurate, safe, fit for purpose, free of third-party rights claims, or suitable for any specific child.
Subject to your compliance with these Terms, you may use AI-generated content created from your own original prompts for personal use and, in the case of paid plans that grant publishing rights, for publication on the Ludooka marketplace.
8. Voice Cloning Consent
The voice cloning feature creates a synthetic voice from a short audio sample. You may only clone a voice if:
- It is your own voice, or you have the explicit, informed and revocable consent of the person whose voice is being cloned.
- For minors, the consent of the parent or legal guardian has been obtained and documented.
- You will not use a cloned voice to impersonate, deceive, defraud, harass or harm any person.
- You will not use cloned voices for political, advertising, pornographic or otherwise sensitive content.
We may suspend a cloned voice immediately on request from the person whose voice was cloned, or on credible reports of misuse.
9. Subscriptions, Credits and Billing
Some features require a paid subscription or the use of credits. Pricing, included quotas and feature lists are shown on our pricing page at purchase time and form part of these Terms.
- Subscriptions auto-renew at the end of each billing period (monthly or annual, as selected at purchase) at the then-current price until cancelled.
- You may cancel auto-renewal at any time from your account settings. Cancellation only stops the next renewal. It takes effect at the end of the current paid period: for a monthly plan, at the end of the current month; for an annual plan, at the end of the current twelve-month term. We do not pro-rate or refund the unused portion of a paid period, and no partial-month or partial-year refunds are issued.
- Plan changes follow our upgrade-only policy: upgrades take effect immediately and are prorated; downgrades are not scheduled mid-term and take effect at the next renewal.
- Credits are consumed when AI features run. Charges may be split between an upfront deposit and a final settlement based on actual usage. Unused credits expire as stated in the credits policy.
- If a payment fails or is reversed, premium features and AI access may be suspended until the balance is settled.
- Taxes and currency conversion fees are your responsibility unless stated otherwise.
Refunds
By starting any paid subscription, purchasing any book or bundle, or consuming any credit, AI generation, translation, voice clone or audiobook narration, you expressly request immediate performance of the digital service and you expressly acknowledge that you lose any statutory right of withdrawal that may otherwise apply under EU Directive 2011/83/EU, UK Consumer Contracts Regulations 2013 and equivalent laws.
- Book and bundle purchases are final and non-refundable. Once a book or series bundle is added to your library, the licence is delivered immediately and the sale cannot be reversed or "returned". This applies to individual books, series bundles and gifted purchases.
- Subscriptions are non-refundable once the current period has started. Cancellation stops the next renewal only; you keep access until the end of the period you have already paid for, and we do not refund any part of a monthly or annual term, including unused months of an annual plan.
- Credits, AI generations, translations, voice clones and audiobook narrations are non-refundable once consumed, including outputs you choose not to keep.
- Print orders are personalised on demand and are non-refundable once production has started, except for production defects reported within fourteen (14) days of delivery (see Section 10).
- The above limits do not affect mandatory consumer rights that cannot be waived under the law of your country of residence, refunds required by an app-store operator under its own policy, or duplicate or fraudulent charges, which we will always investigate and reverse where appropriate. Contact refunds@ludooka.com.
10. Marketplace Purchases and Print Orders
Books purchased on the Ludooka marketplace are licensed to your account for personal, non-commercial reading, listening and learning. You do not acquire ownership of the underlying intellectual property and may not redistribute the book.
Print orders are produced and shipped by third-party print partners. Production times, shipping windows and customs duties depend on your location. Print orders are personalised and therefore generally non-refundable once production has started, except for production defects reported within fourteen (14) days of delivery.
10b. Self-Publishing Services (Ludooka Creates)
"Ludooka Creates" packages (including any Amazon KDP preparation, editorial, illustration, layout, cover design or related self-publishing service offered by Ludooka) are bespoke, made-to-order creative services. By placing an order you instruct Ludooka and our assigned editors and illustrators to begin work immediately on your project.
Because each package is custom-produced for you, all amounts paid for a Ludooka Creates package are final and strictly non-refundable once the order is placed. This includes, without limitation:
- Editorial work — manuscript review, copy editing, proofreading, story development, formatting and interior layout.
- Illustration work — cover art, interior illustrations, character design, art direction and any visual assets produced by our illustrators or AI tooling on your behalf.
- Unused revision rounds, partial deliveries, and any cancellation requested by you after payment.
- Projects you choose not to publish on Amazon KDP, or that are rejected by Amazon KDP or any other distributor for reasons outside Ludooka's control (including content policy, trademark, copyright or quality decisions made by the distributor).
- Delays caused by you (including failure to provide a manuscript, reference material, feedback or approvals within a reasonable time) or by third parties such as payment processors, Amazon KDP or print partners.
Ludooka does not publish your book on Amazon KDP for you. You receive a print-ready PDF that you upload to your own Amazon KDP account under your own author identity. You are solely responsible for (i) the originality and legality of any manuscript, characters, names, brands, likenesses and reference material you provide, (ii) compliance with Amazon KDP's content guidelines and all applicable laws, and (iii) any tax, royalty and reporting obligations arising from your sales.
You represent and warrant that you have all necessary rights to the material you submit and that the material does not infringe any third-party right. You agree to indemnify, defend and hold harmless Ludooka, its officers, employees, contractors, editors and illustrators from and against any claim, demand, loss, liability, fine or expense (including reasonable legal fees) arising from or related to the material you submit, your use of the deliverables, or your publication or sale of the resulting book.
To the maximum extent permitted by law, Ludooka's total aggregate liability for any claim relating to a Ludooka Creates package is limited to the amount actually paid by you for that specific package. Ludooka is not liable for any indirect, incidental, consequential, special or punitive damages, lost profits, lost royalties, lost sales, or loss of goodwill, even if advised of the possibility of such damages.
Ludooka reserves the right to decline, pause or terminate any project that, in our sole discretion, contains unlawful, infringing, abusive, hateful, sexually explicit, deceptive or otherwise inappropriate material, or that conflicts with another active project. Where a project is terminated for these reasons, no refund is owed.
Where a non-waivable consumer-law right of withdrawal applies to you under the law of your country of residence (for example, certain EU/EEA consumer protections for digital services), you acknowledge that by checking the non-refundable consent box on the order form and instructing Ludooka to begin work immediately, you expressly request the immediate performance of the service and acknowledge that you lose any statutory right of withdrawal once performance has begun.
Ownership of deliverables. Upon full payment, all rights, title and interest in the final deliverables of a Ludooka Creates project (manuscript edits, illustrations, cover, interior layout and print-ready PDF) belong to you, the requesting customer. Ludooka claims no copyright, distribution right or commercial interest in your finished book. Ludooka will not publish, list on its marketplace, resell, sublicense or otherwise reuse your book or its assets. For your privacy, completed Ludooka Creates projects (including the delivered print ready PDF and all source assets produced for the project) are automatically archived from your project dashboard 90 days after delivery; an administrator can retrieve the archived record on your written request for a reasonable period, after which it may be permanently deleted in line with our data-retention policy. If you would like Ludooka to host or publish the same book on the Ludooka platform, that is a separate service that is not included in any Ludooka Creates package. It requires an active Ludooka Author plan and acceptance of the Ludooka Author Agreement and all applicable author terms, which govern hosting, distribution, royalties and moderation of books published on Ludooka.
11. Acceptable Use
You agree not to use the Service to:
- Violate any law, regulation, court order or third-party right.
- Generate, upload or share content that sexualises minors, depicts child abuse, promotes self-harm, glorifies violence, incites hatred or discrimination, or otherwise endangers children.
- Generate content involving real, identifiable people without their consent, or content designed to deceive or defraud.
- Circumvent age gates, parental controls or content filters.
- Attempt to bypass usage limits, scrape the Service, reverse engineer models, or extract training data.
- Use the Service to build a competing product, dataset or model.
- Probe, scan or test the vulnerability of the Service, or interfere with its security or integrity.
We may remove content, suspend features or terminate accounts that violate this section, with or without notice.
11A. Scanning, Uploading and User-Provided Source Material
Ludooka provides tools that let you scan physical books with your device camera, upload PDFs, images, manuscripts or other source material, and use those inputs to read, translate, narrate, illustrate, re-generate or publish content on the Service ("User Source Material"). These tools are provided as a convenience for material you are legally entitled to use. You are solely and fully responsible for every page you scan or upload and for every output you generate from it.
By scanning, uploading or otherwise submitting User Source Material, you represent and warrant on a continuing basis that:
- You are the copyright owner of the material, or you have a written licence, public-domain status or other valid legal basis that permits the specific use you are making of it on Ludooka (including digitisation, AI processing, translation, narration, re-illustration, derivative works, sharing within your family or organisation, and, where applicable, publication or sale).
- You will not scan, photograph, OCR or upload a book, illustration, photograph, character, brand, song lyric, score, font or other protected work that you do not own or have not properly licensed, even for personal use, beyond what is permitted by applicable copyright exceptions in your country.
- You will not use the scan, OCR, AI generation, translation, narration, illustration, regeneration, audiobook, print, marketplace listing, sharing, gifting or any other feature of the Service to reproduce, adapt, publish, distribute, sell, gift or otherwise share copyrighted content of any type that does not belong to you.
- The fact that the Service technically allows an upload, scan or generation does not grant you any rights in the underlying work and is not an endorsement by Ludooka that your use is lawful.
- You will not pass off a scanned, OCR'd or AI-modified version of someone else's book as your own work, change the author name, remove copyright notices, or list it on the marketplace.
All legal liability arising from User Source Material, including copyright, trademark, moral-rights, right-of-publicity, privacy, defamation and contractual claims, rests entirely with you. Ludooka does not pre-screen scans or uploads and acts only as a neutral processing platform. On a credible rights complaint we may, without notice, remove the material, revoke generated outputs (including translations, narrations and printed copies), suspend the relevant features for your account, withhold related royalties and, where required by law, disclose your identity and account records to the rights holder, their representatives, law enforcement or a court (see the Copyright & DMCA Policy and the Author & Publisher Agreement). You agree to indemnify and hold Ludooka harmless from any claim arising out of User Source Material you submit, in accordance with the indemnification provisions of these Terms.
11B. Ownership, Licences and Royalties
Ludooka hosts three different kinds of books, each with its own ownership and revenue rules. By using the Service you agree to the rules of the category your book falls into.
(a) Ludooka Studio and curated books
Books published under the "Ludooka", "Ludooka Studio" or "Ludooka Originals" imprint, books marked as curated or platform books, and books commissioned by Ludooka under a work-for-hire, employment or assignment contract, are owned exclusively by Ludooka. All copyright, illustrations, narration, translations, characters, derived assets and brand elements in those books, and all revenue from them, belong to Ludooka, and Ludooka may sell, sublicense, translate, print, distribute, adapt and use them on or off the Service without further consent or payment to any user. Contributors hired for Ludooka Studio sign separate contracts that govern any compensation; this Section 11B does not by itself transfer rights to or from such contributors.
(b) Author-published books
If you publish a book on Ludooka as an individual author, you keep full copyright in your work. Ludooka claims no ownership. You grant Ludooka a worldwide, non-exclusive, transferable, sublicensable, royalty-bearing licence, for as long as the book is published on the Service and a reasonable wind-down period afterwards, to host, display, stream, narrate, translate, illustrate, reformat, print on demand, generate previews of, market and sell your book on and through Ludooka and authorised resellers. Because the licence is non-exclusive, you remain free to publish, sell or distribute the same book on any other platform (for example Amazon KDP, Apple Books, Kobo, your own website or in print).
You may withdraw your book at any time from your author dashboard. Withdrawal stops new sales and removes the book from the marketplace; however, copies already purchased remain accessible to the buyers who purchased them, and Ludooka may retain copies of the work and related records as needed for backups, tax, audit, anti-fraud, dispute resolution and legal compliance.
(c) Publisher-published books
If you publish on Ludooka as a publisher, imprint, studio or other entity, the rules in paragraph (b) apply to your books as well. In addition, you represent and warrant that you hold, under written contracts with your authors, illustrators, narrators and other contributors, all the rights you grant to Ludooka under this Section. Ludooka pays royalties to the publisher account; the publisher is solely responsible for splitting and paying its own contributors, and for any related tax, social-security or union obligations.
(d) Royalty rate and "net revenue"
Unless a higher rate is shown for your specific book or plan in your author dashboard at the time of sale, the default royalty for author-published and publisher-published books is forty percent (40%) of net revenue, with Ludooka retaining the remaining sixty percent (60%) to cover AI generation, illustration, narration, translation, hosting, bandwidth, payment-processor and currency fees, refunds and chargebacks, marketing, customer support and platform development. Premium author plans (where offered) may grant a higher royalty share; the rate in effect at the time of each sale governs that sale.
"Net revenue" means the gross sale price actually received by Ludooka for the relevant transaction, minus: payment-processor and acquiring fees, refunds and chargebacks, applicable sales tax, VAT or GST, currency-conversion fees, any platform-funded discount, promo credit or bundle attribution, and, for print orders, printing, fulfilment and shipping costs paid to print partners.
(e) Payouts and clearing
Sales accrue to your earnings balance as pending and move to cleared after a refund and chargeback window of approximately thirty (30) days. Cleared earnings are paid out once your balance reaches the minimum threshold shown in your dashboard (default USD 25). You are solely responsible for income tax, VAT/GST registration and reporting in your jurisdiction. Ludooka may withhold tax where required by law, and may withhold, offset or claw back payments associated with sales we reasonably believe to be fraudulent, infringing, refunded, charged back or otherwise non-compliant.
(f) Author plans and dormant accounts
Publishing on Ludooka does not require a paid subscription. Ludooka may offer optional paid author or publisher plans that unlock additional tools, higher AI usage limits, advanced analytics, marketplace promotion and/or a higher royalty share; the features and price of those plans are shown in your dashboard and may change with thirty (30) days' notice. If an author or publisher account has no active paid plan and no sales or publishing activity for twenty-four (24) consecutive months, Ludooka may archive its listings on at least sixty (60) days' prior notice; archived listings can be reactivated by the account holder.
(g) Printed copies & personalization (personal use)
Every book on Ludooka is sold first as a digital edition. The price you see in the store, on a book's detail page or in your bookshelf is for the digital licence to read, listen to, learn from and personalize the book on the Service. Printed copies are a separate, optional service: once you own the digital edition, you may also order a printed keepsake copy through our print partner. Printing and shipping are billed in addition to the digital price and are quoted at checkout based on your delivery region; Ludooka does not add a royalty for the author on print orders, because print is a platform-fulfilled service rather than a sale of the underlying work.
When you personalize a Ludooka, curated or author-published book (for example by swapping a character for your child), the resulting copy is a derivative work. The original author and rights holder keep full copyright in the underlying story, illustrations and characters; you receive a personal, non-transferable, non-commercial licence to read, share within your household, and print one or more copies of the personalized version for your family's own use. You may not resell, redistribute, give away in commerce, upload to other platforms, or otherwise commercially exploit a personalized copy of a curated or author/publisher-published book, whether digital or printed. Books you generated yourself with the AI tools (and that are not based on a third-party book on the Service) remain your own work under paragraph (b) above.
Authors and publishers may disable personal print orders for any of their titles from the book's marketplace settings; scanned books are never printable through Ludooka, because scanning is limited to personal study under Section 6. At print checkout you will be asked to confirm that the order is for personal & family use only; that confirmation is recorded with the order.
See also the Author & Publisher Agreement for the detailed contract that applies when you publish on Ludooka.
12. Ludooka Intellectual Property
The Service, including its software, design, brand, illustrations produced by Ludooka, curated library, templates, model prompts, orchestration pipelines and documentation, is owned by Ludooka or its licensors and is protected by copyright, trademark, trade secret and other intellectual property laws.
All rights are reserved to Ludooka and the relevant rights holders except for the limited rights expressly granted to you under these Terms. The "Ludooka" name, logo and product names are trademarks of Ludooka and may not be used without prior written permission.
13. Third-Party Services
The Service uses third-party providers for hosting, payments, AI models, voice synthesis, email and analytics. Their use of your data is governed by our Privacy Policy and by their own terms. We are not responsible for the acts or omissions of third-party providers, and outages or changes to their services may affect feature availability.
14. Disclaimer of Warranties
The service, including all AI-generated content, translations, voices, illustrations and curated material, is provided "as is" and "as available" without warranties of any kind, whether express, implied or statutory, including without limitation warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, educational outcome, age-appropriateness or uninterrupted operation.
We do not warrant that AI-generated content will be free of errors, biases or unsuitable material, that scanned content will be perfectly recognised, that translations will be linguistically accurate, or that the Service will meet your specific requirements.
15. Limitation of Liability
To the maximum extent permitted by law, Ludooka and its officers, employees, contractors, agents and licensors shall not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, including loss of profits, revenue, data, goodwill, educational outcomes or business opportunities, arising out of or in connection with your use of the service, even if advised of the possibility of such damages.
Our aggregate liability for all claims arising out of or relating to the service shall not exceed the greater of (a) the amount you paid Ludooka in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100).
Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities. In those jurisdictions, our liability is limited to the maximum extent permitted by law.
16. Indemnification
You agree to defend, indemnify and hold harmless Ludooka and its affiliates, officers, employees and agents from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your use of the Service; (b) content you upload, scan, generate or publish; (c) your violation of these Terms; or (d) your violation of any third-party right, including intellectual property, privacy or publicity rights.
17. Suspension and Termination
We may suspend or terminate your access to all or part of the Service immediately, with or without notice, if we reasonably believe you have violated these Terms, infringed third-party rights, abused the Service or put children, other users or our infrastructure at risk.
You may stop using the Service at any time and delete your account from your account settings. Sections that by their nature should survive termination (including IP, indemnity, disclaimers, limitation of liability, and governing law) will survive.
18. Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law rules. The parties submit to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute arising from these Terms or the Service, except that either party may seek injunctive relief in any court of competent jurisdiction.
You agree to first contact us at legal@ludooka.com and attempt in good faith to resolve any dispute informally for at least thirty (30) days before filing a formal proceeding.
19. General Provisions
- Entire agreement. These Terms, together with the Privacy Policy and any additional terms shown at purchase time, constitute the entire agreement between you and Ludooka regarding the Service.
- Severability. If any provision is held unenforceable, the remaining provisions remain in full force and effect.
- No waiver. Our failure to enforce a right is not a waiver of that right.
- Assignment. You may not assign these Terms without our prior written consent. We may assign them to an affiliate or to a successor in connection with a merger, acquisition or sale of assets.
- Force majeure. We are not liable for failures caused by events outside our reasonable control.
